Shareholders of UnitedHealth Group Inc. approved a nonbinding resolution to record stock options as expenses and reelected four board members during the company's annual meeting Wednesday in Minnetonka.

A second shareholder proposal to replace stock options with time-based restricted shares was defeated. That would have required that restricted stock be awarded based on justifiable operational performance and that the restricted shares should not vest in less than three years.

UnitedHealth Chairman and CEO Dr. William McGuire said the board would conduct an ongoing review of compensation, a high-profile issue in corporate America as well as at UnitedHealth. McGuire cashed in options totaling $84.2 million, making up a total compensation of $94.2 million in 2003.

Reelected as directors were William Ballard Jr., retired chief financial officer of Humana, Inc., Richard Burke, former UnitedHealth chief executive, Stephem Hemsley, president and chief operating officer for UnitedHealth, and Donna Shalala, president of the University of Miami and former secretary of the Department of Health and Human Services.
